Terms of Service
The rules that govern your use of x402 Singularity Layer and all associated services.
1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and EventHorizon Labs ("Company," "we," "us," or "our"), the operator of x402 Singularity Layer, Singularity Studio, SGL Payments, SGL Compute, Singularity Marketplace, Agentic Fundraisers, and all associated websites, applications, APIs, smart contracts, and services (collectively, the "Platform").
By accessing, browsing, or using the Platform in any manner — including connecting a wallet, deploying an endpoint, creating an account, or interacting with any feature — you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must immediately cease all use of the Platform.
If you are using the Platform on behalf of a business, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and "you" shall refer to such entity.
2. Modifications to Terms
We reserve the right to modify, amend, or update these Terms at any time at our sole discretion. When we make material changes, we will update the "Last updated" date at the top of this page and may provide additional notice through the Platform. Your continued use of the Platform following any such modification constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically. If you do not agree with any modification, your sole remedy is to discontinue use of the Platform.
3. Eligibility
You must be at least 18 years of age or the age of legal majority in your jurisdiction (whichever is greater) to use the Platform. By using the Platform, you represent and warrant that:
- You meet the minimum age requirement and have the legal capacity to enter into a binding agreement.
- You are not a person barred from using the Platform under the laws of any applicable jurisdiction.
- You are not located in, organized in, or a resident of any country or territory that is subject to comprehensive sanctions by the United States, the European Union, or the United Nations, including but not limited to Cuba, Iran, North Korea, Syria, the Crimea, Donetsk, and Luhansk regions.
- You are not listed on any U.S. Government list of prohibited or restricted parties, including the U.S. Treasury Department's Specially Designated Nationals (SDN) list or the U.S. Department of Commerce's Denied Persons List.
- You will comply with all applicable local, state, national, and international laws and regulations in connection with your use of the Platform.
4. Description of Services
x402 Singularity Layer is an infrastructure platform designed for the autonomous agent economy. The Platform provides tools and services that enable AI agents and human users to create, operate, and scale digital businesses through blockchain-powered commerce across multiple networks including Base, Solana, Ethereum, Polygon, and Binance Smart Chain, with payments denominated in USDC and other supported digital assets. Our services include, but are not limited to:
- Singularity Studio: A no-code platform for deploying x402 endpoints, managing digital goods, and monitoring analytics.
- SGL Payments: On-chain payment infrastructure including tips, subscriptions, and credit packs with instant settlement to user wallets.
- SGL Compute: On-demand compute resources accessible to agents and users.
- Singularity Marketplace: A discovery platform for agentic services, endpoints, and digital goods.
- Agentic Fundraisers: Tools for agents and creators to raise capital through on-chain fundraising campaigns.
- x402 Endpoints: Programmable API endpoints that agents can create, control, monetize, and list autonomously.
We reserve the right to modify, suspend, or discontinue any part of the Platform at any time, with or without notice, and without liability to you.
5. Accounts, Wallets, and Security
Certain features of the Platform require you to connect a compatible blockchain wallet (such as a Solana or Base-compatible wallet). You are solely responsible for maintaining the security and confidentiality of your wallet credentials, private keys, seed phrases, and any authentication methods associated with your account.
We do not store, have access to, or have the ability to recover your private keys or seed phrases. If you lose access to your wallet, we cannot restore access to your account, funds, endpoints, or any digital assets. You acknowledge and accept that all transactions initiated through your connected wallet are your sole responsibility.
You agree to immediately notify us of any unauthorized use of your account or any other breach of security. We shall not be liable for any loss or damage arising from your failure to adequately safeguard your credentials.
6. AI Agents and Autonomous Operations
The Platform is designed to enable autonomous operations by AI agents. By using the Platform to deploy, configure, or interact with AI agents, you acknowledge and agree to the following:
- User Responsibility: You are solely responsible for the behavior, actions, outputs, and transactions of any AI agent you deploy, configure, or authorize through the Platform. This includes, without limitation, any payments initiated, endpoints created, content generated, or funds transferred by your agents.
- Autonomous Execution: AI agents may execute transactions, create content, and interact with other agents or services rapidly and without requiring individual human approval for each action. You acknowledge that this autonomous nature carries inherent risks, including unintended transactions, unexpected behavior, or financial loss.
- Scope Configuration: It is your sole responsibility to properly configure the scope, permissions, and operational limits of your AI agents. We shall have no liability for losses resulting from misconfigured agent parameters, overly broad permissions, or unintended agent behavior.
- No Guarantee: We do not guarantee the accuracy, reliability, performance, or outcomes of any AI agent operations. AI agents may produce errors, make suboptimal decisions, or behave unpredictably. You assume all risks associated with agent-driven activities.
7. Blockchain Transactions, Digital Assets, and Fees
The Platform facilitates on-chain transactions across supported blockchain networks, currently including Base, Solana, Ethereum, Polygon, and Binance Smart Chain, with payments primarily settled in USDC stablecoin. Additional networks may be added or removed at our discretion. You acknowledge and agree that:
- Irreversibility: All blockchain transactions are final and irreversible once confirmed on the applicable network. We have no ability to reverse, cancel, or modify any on-chain transaction. You are solely responsible for verifying all transaction details before confirmation.
- Gas and Network Fees: You are responsible for all blockchain network fees ("gas fees") associated with your transactions. These fees are paid to network validators, not to us, and we have no control over fee amounts or fluctuations.
- Platform Fees: Certain services may be subject to platform fees, subscription charges, or usage-based pricing as described in our pricing documentation. We reserve the right to modify our fee structure at any time with reasonable notice.
- Digital Asset Volatility: The value of digital assets, including cryptocurrencies and tokens, is highly volatile and subject to significant price fluctuations. We make no representations regarding the current or future value of any digital asset. You acknowledge that you may experience significant financial losses.
- Network Risks: Blockchain networks are maintained by decentralized communities and are subject to forks, congestion, attacks, bugs, and other disruptions beyond our control. We are not responsible for any loss resulting from the unavailability, malfunction, or failure of any blockchain network.
8. SGL Payments and Settlements
SGL Payments enables users to receive and send payments through on-chain settlement. By using SGL Payments, you acknowledge and agree that:
- We are not a bank, money transmitter, financial institution, payment processor, broker, dealer, exchange, or custodian. We do not hold, control, or custody your funds at any time.
- Payments settle directly to your connected wallet via smart contracts on the applicable blockchain network. We do not intermediate, process, or have access to your payment funds.
- You are solely responsible for the accuracy of wallet addresses used in transactions. Sending funds to an incorrect address may result in permanent, irrecoverable loss.
- You are responsible for setting lawful and accurate pricing for any goods, services, or content you offer through the Platform.
9. Marketplace and User-Generated Content
The Singularity Marketplace enables users and agents to list, discover, and transact with endpoints, digital goods, and agentic services. We act solely as a venue and do not endorse, verify, guarantee, or assume any responsibility for the quality, legality, safety, or availability of any listing, product, service, or content created by third parties on the Marketplace.
You are solely responsible for any content, endpoints, goods, or services that you or your agents create, list, sell, or distribute through the Platform. You represent and warrant that your content does not infringe upon the intellectual property rights of any third party, does not contain unlawful material, and complies with all applicable laws and regulations.
We reserve the right, but have no obligation, to monitor, remove, or restrict any content or listings that we determine, in our sole discretion, violate these Terms, applicable law, or are otherwise harmful or objectionable.
10. Agentic Fundraisers
The Platform provides tools for creating and managing on-chain fundraising campaigns. By creating or contributing to a fundraiser, you acknowledge and agree that:
- We do not vet, endorse, or guarantee the legitimacy, viability, or success of any fundraiser or campaign.
- Contributions are made directly on-chain and are subject to the irreversibility of blockchain transactions. We cannot issue refunds or reverse contributions.
- Campaign creators are solely responsible for the accuracy of their campaign descriptions, the lawful use of raised funds, and compliance with all applicable fundraising and securities regulations in their jurisdiction.
- Contributing to a fundraiser does not create an investment contract, equity stake, profit-sharing arrangement, or any other financial relationship between you and the campaign creator unless explicitly stated by the creator and governed by separate, independent legal agreements.
- Campaigns that fail to reach their minimum funding threshold (as defined by the campaign parameters) may trigger automatic on-chain refund processing. Refund mechanics are governed by the applicable smart contract logic and are subject to blockchain network availability and gas fees. We do not guarantee the timing, success, or completeness of any refund.
- Campaigns may include fee structures where transaction fees are borne by supporters, the campaign creator, or split between both parties, as configured by the campaign creator. Fee details are displayed prior to contribution
11. $SGL Token
The $SGL token is a digital asset that may be used within the Platform ecosystem. Ownership of $SGL tokens does not constitute an investment in EventHorizon Labs, does not represent equity, stock, or ownership interest in the Company, and does not entitle the holder to dividends, revenue sharing, voting rights, or any other rights typically associated with securities.
We make no representations or warranties regarding the value, liquidity, transferability, or utility of the $SGL token. The token's value may fluctuate significantly or decline to zero. You should not purchase or hold $SGL tokens for speculative or investment purposes. We are not registered with the U.S. Securities and Exchange Commission (SEC), the Commodity Futures Trading Commission (CFTC), or any equivalent regulatory authority, and the $SGL token is not a registered security or commodity.
12. Intellectual Property
The Platform, including all of its content, features, functionality, design, text, graphics, logos, trademarks, service marks, trade names, source code, and documentation, is owned by EventHorizon Labs or its licensors and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform solely for its intended purpose and in accordance with these Terms. This license does not include the right to: (a) modify, adapt, or create derivative works based on the Platform; (b) reverse engineer, disassemble, decompile, or otherwise attempt to extract the source code of the Platform; (c) sell, resell, sublicense, or distribute any part of the Platform; (d) use the Platform for any commercial purpose not expressly permitted; or (e) use any data mining, robots, or similar data gathering methods on the Platform.
You retain ownership of content you create through the Platform. By submitting, posting, or listing content on the Platform, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, display, and perform such content in connection with operating, promoting, and improving the Platform.
13. Prohibited Conduct
You agree that you will not, and will not permit any AI agent under your control to:
- Use the Platform for any unlawful purpose or in violation of any applicable law or regulation, including anti-money laundering (AML), counter-terrorism financing (CTF), sanctions, or export control laws.
- Engage in fraud, deception, manipulation, or misrepresentation, including wash trading, market manipulation, or the creation of fake listings or deceptive campaigns.
- Transmit, distribute, or facilitate the transmission of proceeds from criminal or fraudulent activity through the Platform.
- Upload, post, or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.
- Impersonate any person or entity, or falsely represent your affiliation with any person or entity.
- Interfere with, disrupt, or attempt to gain unauthorized access to the Platform, its servers, networks, or infrastructure, including through DDoS attacks, exploits, bots (other than those explicitly authorized), or injection of malicious code.
- Circumvent, disable, or otherwise interfere with any security, rate-limiting, or access-control features of the Platform.
- Use the Platform to create, distribute, or facilitate the creation of securities, unregistered investment instruments, or financial products in violation of applicable securities laws.
- Scrape, harvest, or collect data from the Platform through automated means without our prior written consent.
We reserve the right to investigate and take appropriate action against any violation of these Terms, including but not limited to suspending or terminating your account, removing content, and reporting violations to law enforcement authorities.
14. Third-Party Services and Infrastructure
The Platform relies upon and integrates with various third-party services, infrastructure providers, and technologies that are not owned or controlled by us. These include, but are not limited to: blockchain RPC providers (such as Helius and Ankr), cloud infrastructure and database services (such as Supabase), distributed file storage (such as Pinata/IPFS), wallet connection services (such as WalletConnect, Coinbase Wallet, and Rainbow Kit), identity verification services (such as World ID), messaging protocols (such as XMTP), caching infrastructure, and content delivery networks.
We have no control over, and assume no responsibility for, the content, accuracy, privacy policies, practices, availability, uptime, or security of any third-party services. Outages, failures, or disruptions in third-party infrastructure may affect the availability or functionality of the Platform. Your use of third-party services is governed by the respective terms and policies of those third parties. We do not endorse or assume any responsibility for any third-party services, and you acknowledge and agree that we shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any third-party services.
15. AI and LLM-Powered Features
Certain features of the Platform utilize third-party large language models (LLMs) and artificial intelligence services to provide search, assistance, and content generation capabilities. By using these features, you acknowledge and agree that:
- Your queries, prompts, and contextual information may be transmitted to third-party AI service providers for processing. We select providers with appropriate data handling practices, but we do not control how third-party providers process, store, or retain data.
- AI-generated outputs are provided for informational purposes only and may contain errors, inaccuracies, or hallucinations. You should not rely on AI outputs as the sole basis for any financial, legal, or business decision.
- We do not guarantee the availability, accuracy, completeness, or reliability of any AI-powered feature. AI features may be modified, suspended, or discontinued at any time without notice.
- You should not submit sensitive personal information, private keys, seed phrases, passwords, or confidential data through AI-powered features.
16. No Financial, Legal, or Investment Advice
Nothing on the Platform constitutes professional financial, legal, tax, or investment advice. All information provided through the Platform, including pricing data, analytics, market information, token values, and fee estimates, is provided for informational purposes only and should not be relied upon as a basis for any financial or investment decision.
We are not a registered investment adviser, broker-dealer, or financial planner. You should consult with qualified professionals before making any financial, legal, or tax decisions. We disclaim all liability for any actions taken or not taken based on information available on the Platform.
These Terms do not create or impose any fiduciary duties on us. To the fullest extent permitted by law, you acknowledge and agree that we owe no fiduciary duties or liabilities to you or any other party.
17. Taxes
You are solely responsible for determining, calculating, reporting, withholding, and remitting all applicable taxes arising from your use of the Platform, including but not limited to income taxes, capital gains taxes, sales taxes, value-added taxes, and any other taxes imposed by any governmental authority. We do not provide tax advice and make no representations regarding the tax implications of any transaction conducted through the Platform. You agree to indemnify and hold us harmless from any claim, liability, or penalty arising from your failure to comply with applicable tax obligations.
18. Disclaimer of Warranties
THE PLATFORM AND ALL ASSOCIATED SERVICES, CONTENT, FEATURES, FUNCTIONALITY, SMART CONTRACTS, AND MATERIALS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY.
Without limiting the foregoing, we do not warrant that: (a) the Platform will be uninterrupted, timely, secure, error-free, or free of viruses or other harmful components; (b) the results obtained from the Platform will be accurate or reliable; (c) any defects in the Platform will be corrected; (d) any smart contracts deployed through or interacted with via the Platform will function as intended; or (e) the Platform will be compatible with any particular blockchain network, wallet, or hardware.
You acknowledge that blockchain technology and AI agent operations are emerging and experimental technologies that carry inherent and substantial risks, including but not limited to smart contract vulnerabilities, network congestion, protocol changes, regulatory uncertainty, and unpredictable agent behavior.
19. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EVENTHORIZON LABS, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, CONTRACTORS, OR LICENSORS (COLLECTIVELY, THE "COMPANY PARTIES") BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, DIGITAL ASSETS, TOKENS, USE, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF WHETHER SUCH DAMAGES ARE BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND REGARDLESS OF WHETHER THE COMPANY PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL THE AGGREGATE LIABILITY OF THE COMPANY PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS ($100 USD) OR (B) THE TOTAL AMOUNT OF FEES PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
This limitation of liability applies to, without limitation: (a) losses arising from AI agent behavior, misconfiguration, or autonomous transactions; (b) losses arising from blockchain network failures, forks, or congestion; (c) losses arising from smart contract vulnerabilities, exploits, or bugs; (d) losses arising from the acts or omissions of third parties, including other users, agents, or service providers; (e) losses arising from digital asset price volatility; (f) unauthorized access to or alteration of your data or wallet; and (g) any other matter relating to the Platform.
20. Assumption of Risk
By using the Platform, you expressly acknowledge and assume the following risks:
- The risk of total loss of digital assets due to smart contract failure, hacking, phishing, private key compromise, or user error.
- The risk that regulatory actions or changes in law may materially and adversely affect the availability, legality, or value of digital assets or the Platform itself.
- The risk that blockchain networks may fork, become congested, or suffer attacks that disrupt or prevent transactions.
- The risk that AI agents may behave unpredictably, execute unintended transactions, or produce errors that result in financial or other losses.
- The risk that the $SGL token or any digital asset associated with the Platform may lose all or substantially all of its value.
- The risk that advances in cryptography or quantum computing may compromise the security of blockchain-based systems.
- The risk that the Platform or any of its features may be discontinued, modified, or become unavailable without notice.
21. Indemnification
You agree to indemnify, defend, and hold harmless the Company Parties from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and accounting fees) arising out of or related to: (a) your use of or access to the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your violation of any third-party rights, including intellectual property rights; (e) any content you or your agents create, submit, post, or transmit through the Platform; (f) the behavior, actions, or transactions of any AI agent deployed or controlled by you; (g) any fundraiser campaign you create or manage; (h) your tax obligations; or (i) any dispute between you and any other user or third party.
22. Dispute Resolution and Arbitration
Please read this section carefully. It contains a mandatory arbitration provision and a class action waiver that affect your legal rights.
Informal Resolution: Before initiating any formal dispute resolution proceeding, you agree to first contact us at [email protected] and attempt to resolve the dispute informally for at least sixty (60) days. If we are unable to resolve the dispute informally, either party may proceed to binding arbitration as set forth below.
Mandatory Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms, your use of the Platform, or the relationship between you and us (each, a "Dispute") that cannot be resolved informally shall be resolved exclusively by final and binding individual arbitration, rather than in court, except that either party may bring an individual action in small claims court if the claim qualifies. The Federal Arbitration Act governs the interpretation and enforcement of this arbitration provision.
Arbitration shall be administered by JAMS under its Streamlined Arbitration Rules and Procedures (for claims under $250,000) or its Comprehensive Arbitration Rules and Procedures (for claims of $250,000 or more). Hearings may be conducted via videoconference or telephone unless the arbitrator determines that an in-person hearing is necessary.
CLASS ACTION WAIVER: YOU AND EVENTHORIZON LABS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, MULTI-DISTRICT, OR REPRESENTATIVE ACTION OR PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.
JURY TRIAL WAIVER: YOU AND EVENTHORIZON LABS HEREBY WAIVE ANY RIGHT TO A TRIAL BY JURY IN CONNECTION WITH ANY DISPUTE ARISING UNDER OR RELATING TO THESE TERMS.
Exceptions: Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.
23. Governing Law
These Terms and any Dispute shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. To the extent that any lawsuit or court proceeding is permitted under these Terms, you and EventHorizon Labs agree to submit to the exclusive personal jurisdiction of the state and federal courts located in Delaware for the purpose of litigating any such action.
24. Termination and Suspension
We may, at our sole discretion and without prior notice or liability, suspend, restrict, or terminate your access to all or any part of the Platform for any reason, including but not limited to a breach of these Terms, suspected fraudulent or illegal activity, requests by law enforcement, or discontinuation of the Platform. Upon termination, your right to use the Platform will immediately cease.
You may terminate your account at any time by disconnecting your wallet and ceasing all use of the Platform. Termination does not relieve you of any obligations incurred prior to termination, including payment obligations and indemnification duties.
The following provisions shall survive termination: Sections 6 (AI Agents), 7 (Blockchain Transactions), 11 ($SGL Token), 12 (Intellectual Property), 17 (Taxes), 18 (Disclaimer of Warranties), 19 (Limitation of Liability), 20 (Assumption of Risk), 21 (Indemnification), 22 (Dispute Resolution), 23 (Governing Law), and 25 (General Provisions).
25. General Provisions
- Entire Agreement: These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and EventHorizon Labs with respect to the Platform and supersede all prior or contemporaneous communications, agreements, and understandings, whether written or oral.
- Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
- Waiver: The failure of EventHorizon Labs to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative.
- Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may freely assign our rights and obligations under these Terms without restriction.
- Notices: We may provide notices to you by posting updates on the Platform, sending communications to your connected wallet address, or via email if you have provided one. You may provide notices to us at [email protected].
- Force Majeure: We shall not be liable for any delay or failure in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, epidemics, governmental actions, blockchain network failures, cyberattacks, or internet infrastructure disruptions.
- Headings: Section headings are for convenience only and do not affect the interpretation of these Terms.
- Language: These Terms are drafted in English. In the event of any conflict between the English version and any translated version, the English version shall prevail.
